Master Services Agreement & Terms of Service

1. Subscription Model & Payments
The Service is provided on a "Pay-As-You-Go" pre-paid subscription basis.
- Pre-Payment: Services are only active when the monthly subscription fee is paid in advance.
- No Refunds: Payments are non-refundable.
- Cancellation: You may cancel at any time. Upon cancellation, all development work stops, and hosting services will be terminated at the end of the current billing cycle.
2. Intellectual Property (The "Lease-to-Own" Clause)
- Ownership: Unless and until the "Transfer Fee" is paid, DevPartner retains 100% ownership of all source code, designs, infrastructure configurations, and intellectual property created during the subscription.
- Client License: During your active subscription, you are granted a limited, revocable, non-exclusive license to use the software for your business operations.
- Transfer of Ownership: You may acquire full 100% ownership of the source code and IP rights by paying a one-time Transfer Fee (or "Buyout Fee"). Upon payment, DevPartner will assign all rights to you and assist with migration to your own servers.
3. Fair Use Policy (Growth Plan)
- One Request at a Time: Clients on the Growth Plan ($799/mo) are limited to one (1) active development request at a time.
- Scope: A "Request" is defined as a task that can typically be completed within 2-5 business days. DevPartner reserves the right to break down large features into smaller requests.
4. Managed Hosting & Data
- Hosting: While subscribed, your application is hosted on DevPartner's managed infrastructure.
- Termination: If the subscription expires or is cancelled, your application instance will be taken offline. Data backups will be retained for 30 days before permanent deletion.
5. Liability & Warranty
The software is provided "as is" without warranty of any kind. DevPartner is not liable for any business losses, data breaches, or third-party service failures (e.g., AWS or Stripe outages).
